People

People organized by the entity they're tied to. Click any section to expand its roster. Cross-cutting roles (CPAs / counsel / family-office services that span multiple entities) live under Multi-entity advisors at the bottom.

The broader Casa Moksha counterparty mesh — retreat hosts, booking channels, vendors, billing intermediaries — lives at casamoksha-partners.md. Promote an entry into this file once Austin or Alex confirms identity and ongoing-relationship status.

Conventions: - ✦ marks the canonical bio for a person — the place to read the full background. Per-entity rosters point back via anchor link. - Person appears under an entity if they have a specific role with that entity (signatory, advisor on a specific matter, recurring vendor, staff). Cross-references avoid duplicating the full bio.

Principal

Austin Renfroe (legal name: Gavon Augustus Renfroe) ✦

  • Goes by: Austin
  • Legal name on tax returns, formation docs, bank signatures: Gavon A. Renfroe
  • Role: Sole member of Renfroe Family Holdings, LLC and, through it, owner of all sub-LLCs, Renfroe Hospitality Group (Mexico), and Renfroe Holdings GK (Japan)
  • Also owns separately: E.A. Renfroe & Company S-corp (RENFROE — claims management, out of scope), personal real estate (W 3603, 210 Lavaca #2612), personally-held Oceana 433 via fideicomiso
  • Gitea instance: owner, austin @ gitea.austinrenfroe.com
  • Email: [email protected]
  • Primary point of contact for all decisions in this repo

Naming convention

Austin and Gavon are the same person — "Gavon Augustus" is his legal name; "Austin" is what he goes by. Any reference to "Gavon Renfroe" on a Brex wire or tax return is Austin himself (commonly his own capital contributions, not a third-party payment).

Family

Austin's parents ✦

  • Eugene "Gene" Renfroe[email protected] / [email protected]
  • Jana Renfroe[email protected]
  • Relationship to entities: AFR intrafamily lenders to Five Points BHM LLC (see Five Points / 1006 Birmingham)
  • Loan: funded Austin's purchase of the ServisFirst bank note that Five Points used to foreclose on 1006 20th St S building (2024 transaction; ServisFirst paid $2,325,725 from Five Points Brex)
  • Terms: Applicable Federal Rate, bona fide loan, real interest — needs debt schedule on Five Points' books
  • Documentation needed: loan agreement, amortization schedule. As of Sep 9, 2025, Stuart Memory was looking for the promissory note in his files; not surfaced yet. See todo/for-austin.md and accounting/afr-loan-amortization-template.md.

Hunter Renfroe (Austin's brother) ✦

  • Relationship: Austin's brother
  • Email: [email protected] (Hunter's day job at Orchestra Partners — Birmingham real-estate investment firm). Other Orchestra Partners contacts who handled 1006/Woolworth pre-foreclosure: AJ Mercer, Kayla Mitchell, Henry Costa, John Boone — all @orchestra-partners.com
  • Holdings (legacy): co-owner of 1006 20th St S, LLC and The Woolworth, LLC (both defunct). His personal trust HHR Stock Trust is referenced in entities.md. Likely also has a stake in The Hive BHM LLC (third Birmingham entity in the same building / area; relationship TBD).
  • Active SBA exposure: original borrower on Loan #4300957803 ("loan 7803", ~$500K Woolworth EIDL). Austin signed personal guarantee. Also tracking Loan #9651575003 ("Parent" loan, ~$1.2M, entity TBD). See accounting/five-points-1006-sba-narrative.md.
  • Pre-2025 activity: ran 1006 day-to-day from Orchestra Partners. Through early 2024 had Will Aderholt at Warren Averett doing 1006/Woolworth books. Attempted to sell 1006 via TEN-X Auction Feb 2024 (unsuccessful) before the foreclosure path was chosen.

Internal team

People who work for the family-office stack (staff / former staff / former GK co-member). Distinct from the advisors below who are external professionals retained for counsel.

Current

Alex Snider — Head of Operations, Casa Moksha ✦

  • Email: [email protected] (Casa Moksha M365 tenant)
  • Role: Day-to-day ops at Casa Moksha + coordinator across Portilla, JME, vendors. Also coordinates Mexican-side property management on Oceana 433 (personally held by Austin; address serves as RHG's registered mailing address).
  • Billing: Invoiced via her LLC "Alex Snider Advisory" ($12,388 in Brex history). She is staff (Head of Operations), not a third-party advisor — corrected 2026-05-08 from CM mail thread.

Kelly DeBrocke — Head of Operations, Renfroe Holdings ✦

  • Email (RFH): [email protected] (M365 Business Standard + Copilot + Power Automate Free; provisioned 2026-05-17)
  • Email (personal): [email protected]
  • LinkedIn: linkedin.com/in/kelly-debrocke-0258066a/
  • Role: Head of Operations, Renfroe Holdings (Austin's internal title 2026-05-18). The offer-paper title was "Executive Business Partner / Executive Assistant" — those are d/b/a placement-firm category labels, superseded by Austin's internal framing.
  • Classification: Independent Contractor (1099). Mutually-agreed W-2 transition planned 2027-01-01 contingent on the family-office entity being established (IC agreement §7).
  • Contracting LLC: Of The Medicine, LLC — Kelly's pass-through entity; ACH/direct deposit; banking details to be supplied post-execution.
  • Compensation: $7,724.67 per semi-monthly invoice (1st + 15th) = $15,449.33/mo = $185,392/yr fully loaded ($175,000 base + $10,392 health coverage allowance §3c).
  • Sourced via: d/b/a (Thanh Nguyen, [email protected]) — executive-search firm, NOT via Eugene's network and NOT via Waterloo. Comparable candidate Erin Conley was interviewed and passed over in favor of Kelly.
  • Key dates: First interview 2026-04-11; offer 2026-04-16; offer accepted (pending edits) 2026-04-17; IC agreement final 2026-05-18; Hellosign send pending; intro call/kickoff 2026-05-18 14:00 CT.
  • Pattern note: Continues the RFH "ops lead via LLC, never W-2" model: Laurence Reeves (Base Camp Consulting Ltd) → Chuck Murphy (Waterloo 1099) → Kelly DeBrocke (Of The Medicine, LLC) → planned W-2 conversion 2027-01-01.
  • Full thread distillation + access-provisioning checklist: context/threads/dba-ventures-kelly-debrocke.md.

Casa Moksha payroll (Mexican-side staff)

See Casa Moksha entity collapsible above for full payroll detail. Quick roster: Alfredo, Rosa Maria, Lucila, Miroslava (contractor-classification risk).

Former

Riley — former Casa Moksha staff

  • Email: [email protected] (mailbox retained, no longer in use). Likely the "Riley Cole" referenced in 2024 Teams 1:1 threads.
  • Departed sometime before May 2026; exact date TBC. The mailbox needs a license-drop or inactive-mailbox conversion — tracked in todo/for-austin.md.

Enrique — former Casa Moksha staff

  • Email: [email protected] (mailbox retained).
  • At CM from at least mid-2024 — appears in Cindy's 2024-07-20 WhatsApp screenshot coordinating an AC contractor (IMG_1064) — through some point in 2025. The sites/hr-EnriqueOffboarding SharePoint site documents the departure.
  • Same mailbox-cleanup ask as Riley above.

Chuck Murphy ✦

  • Email: [email protected] (his own venture) + [email protected] (Liberty Park Capital). Legacy: [email protected].
  • Relationship: Austin's friend.
  • Role: Was a Waterloo Capital FOS 1099 contractor 2025-08-17 → early 2026, not an RFH employee. Per John Chatmas (2026-01-07): "Chuck was participating in the fee and acting on behalf of Waterloo Capital FOS as a 1099 contractor. The trips to Alabama, Mexico, and the approximately 200 hours of work he put into this relationship…" So the Aug-Dec 2025 period wasn't Chuck replacing Laurence as an RFH ops hire — he was Waterloo's boots-on-the-ground operator, charged against Austin's $300K/yr Waterloo fee.
  • In role: Ran day-to-day with the Birmingham team (Edgewood, TRC, Pearce), Mexico (Alex), Japan (Saho/Shu), SBA negotiation with Stuart Memory. Ended when Waterloo terminated 2025-12-03.
  • Now: Operating Austin Merchant Bank / Liberty Park Capital. Pitched Austin a joint family-office services business 2025-12-14; sources tax-attorney recommendations independently. Friendship intact, no paid RFH engagement.

Laurence Reeves ✦

  • Email: [email protected] (legacy: [email protected])
  • Role: Former RFH ops lead. Left mid-2025; now at Dodge & Cox.
  • Billing: Never on W-2. She invoiced through her UK LLC Base Camp Consulting Ltd (19 Maclean Road, London Lewisham SE23 1PB), monthly Advisory invoices INV-0001 (Apr 2024) → INV-0014 (Mar 2025), $156-167/hr USD shifting to £125/hr GBP for the final month, paid via Wise. Hours ran 10-22/mo typical, peaking at 48.5 in Oct 2024 (parental funding + Five Points BHM formation).
  • Paperwork lineage: The RFO Consulting Agreement + NDA templates on Synology (Agreement Templates/) were both drafted around her contract — the NDA placeholder literally names "Laurence Villion Reeves ('the Consultant')", effective 2024-02-26 (paperless doc 13780). So RFO discussions predate RFH's formal TX formation (2024-07-26) by ~5 months. The NDA itself is the E.A. Renfroe & Company "Version 2016/06/15" template re-versioned to "RENFROE FAMILY OFFICE Version 2024/02/26" — Alabama governing law, Travis County TX venue. Same vendor-LLC pattern later repeated with Alex Snider Advisory and Chuck Murphy via Waterloo.
  • Pattern: RFH has never had W-2 employees. Every ops lead (Laurence → Chuck → vacant) has billed through an entity. See accounting/source-of-truth-matrix.md "Payroll" row.

Yuriko Kato (née Saho) — former GK co-member ✦

  • Relationship: Austin's friend in Japan who helped form Renfroe Holdings GK
  • Documents reference: Both "Saho" (maiden) and "Kato" (married) — same person
  • GK membership: 2025-01-24 (formation) to 2025-08-19 (retirement). GK is now 100% owned by Renfroe Family Holdings, LLC.
  • Status: Departure believed to have been clean-papered by Japanese counsel. Austin to provide the paperwork — see todo/for-austin.md.

Aguinaldo (Mexican-law-required Christmas bonus) paid December 2025 to Alfredo (prorated), Rosa Maria, Lucila, Daniel (prorated).

Former payroll

  • Daniel ("Nano") — Nu México — was on payroll mid-2025, dropped off after July 2025. Received prorated aguinaldo Dec 2025 for April–July tenure.
Cindy Canto — illegal-acts narrative + consignación detail

Cindy Canto / Cindy Rebeca Vargas Villanueva ([email protected]) — former Casa Moksha hotel manager. She quit before she was fired (per Austin, 2026-05-09).

Grounds for removal: illegal acts — threats against Austin and employees, illegal transfers of retreat-booking funds to her personal account, and embezzlement. Her bookkeeping during tenure was poor (which JME's 2025 back-tax catch-up work corrected), but the bookkeeping issues are downstream of the underlying fraud / embezzlement, not the framing of her exit.

No separation payout was issued (Austin direct, 2026-05-09) — the prior repo inference of "Cindy severance" from the Dec 15, 2025 JPMorgan wire memo "RNIE FINES AND CINDY PAYO" was wrong; that wire's true purpose is unresolved and needs separate clarification (JME / Austin).

Cap-table mechanics: she fraudulently put herself on the RHG cap table at 1% / MXN $500 capital fijo without authorization; the ongoing Mexican payment-consignación proceeding (legal/cindy-consignation-timeline.md) is the procedural mechanism required by RHG bylaws to retire that share — the substantive grounds for removal are the illegal acts.

  • Principals: Anthony Kim ([email protected]), Nicholas Rosado ([email protected])
  • Scope likely: Captive insurance / MSO / R&D credits / ERTC work
  • Status: As of Oct 2025, Chuck removed them from the 2024-tax-return email thread to avoid running up a separate bill — engagement scope still TBD. Listed in Chuck's RFH team-map as "RFH tax."

JME Contadores — Mexican accountant for RHG / Casa Moksha ✦

  • Role: Mexican accountant maintaining RHG's books in CONTPAQ i (confirmed via the SAT-style chart of accounts in the 2026-04-29 deliverable and Feb 2026 emails)
  • Engagement principal: Lic. Giovanni Díaz Durán ([email protected]) — Cédula Profesional 9781784. Bilingual.
  • Parent firm on RHG's books: Grupo Consultor Jua... (account 201-001-029, year-end-2025 balance 99,815 MXN unpaid)
  • Engagement origin: 2024-10-08 (Alex Snider's first email to Giovanni; intro received via Iván Guerrero of Portilla, Ruy-Díaz y Aguilar)
  • Fees: ~$7,540 MXN/month recurring; bank for fees switched from Banregio to Hey Banco in Feb 2026 (internal firm change)
  • Operating cadence: NOT monthly. Project-driven deliverables (back-tax catchups, year-end SAT packages, RNIE forms, transformation balance sheets). The "sample monthly packet" framing in earlier repo notes was incorrect — see accounting/jme-deliverable-status.md.
  • Outstanding promises: February 2026 financial statements committed 2026-03-25, ~6 weeks overdue as of 2026-05-08.
  • Open questions: See todo/jme-questions-2026-04-29.md.

  • Engagement letter: Docusigned 2026-03-01
  • Active threads (as of 2026-05-08): "Renfroe Holdings GK Tax information" — Jan 29 → Feb 10, 2026 traffic with Austin and Yuriko Saho

Huner & Cyr — historical Renfroe Innovation CPA

  • Role: Pre-Pearce-era CPA for Renfroe Innovation. Likely holds 1120-S filings for 2013, 2015-2024 not in Austin's Synology.
  • Status: No active engagement; named for records-recovery purposes only.

Walter Scott Law — property-tax protest ✦

  • Role: Property tax protest counsel for the 1006 building
  • Principals: Walter Scott ([email protected]) + Jessica ([email protected])
  • Engaged: Nov 2025 via Skinner Legal — cut 2026 1006 property tax bill in half
  • Engagement structure: Contingency vs. fee — needs documentation

  • Address: 2227 First Avenue South, Ste. 100, Birmingham AL 35233

  • Intercompany services agreement (RFH ↔ RHG)
  • Transfer-pricing documentation memo
  • Potential Edgewood / 1006 settlement structure review

Lawyers — Mexico

Portilla, Ruy-Díaz & Aguilar, S.C. — corporate + Cindy consignación ✦

  • Location: Mexico City
  • Active Portilla individuals (per CM mail thread, 2026-05-08):
    • Diego Alcantara (dalcantara@) — lead attorney
    • Luisa Rascón (rascon@)
    • Luis Miguel Reyes (lreyes@) — handles parallel "Return of RHG Shares" thread
    • Luis Alberto Lara Zavala (llara@)
    • Mary Infante (minfante@) — billing
    • Valdespino (valdespino@) — partner CC
    • Non-attorney staff: René — handles Yucatán courthouse trips in person
  • Two active mandates:
    1. Convert Renfroe Hospitality Group from S.A. de C.V. → S. de R.L. de C.V. (this conversion triggered the formation of Casa Moksha LLC + Casa Moksha Holdings LLC as the two required US members)
    2. Remove Cindy Canto from RHG via Mexican payment-consignación proceeding — see legal/cindy-consignation-timeline.md for full procedural state
  • Service-of-process state: Active blocker — Cindy's CSF-listed Mérida address has a typo ("Francisco de Montejo" vs. actual "Francisco de Montejo II"). Re-attempt motion drafted by Diego 2026-05-07.
  • Removal projected: Late June 2026 if served; later if address-search letters needed.
  • Billing: Paid from both Primary AND Casa Moksha Ops — invoices need proper entity allocation.

Lawyers — UK / Japan

Withers — UK + Japan ✦

  • Firms: Withers KhattarWong LLP Japan Branch / Withers Bengoshi Houjin + Withers London (Withers LLP), registered office 20 Old Bailey, London EC4M 7AN. SRA # 352314.
  • London teams + engagements:
    • Engagement letter 17 June 2025 (matter ref hnf/ln99999/0001/tnd) — Rodrigo Marcelo Ponce de Leon debt recovery.
      • Partner contact: Andrew Wass ([email protected]; +44 20 7597 6320), £675/hr
      • Associate: Eleanor Ashby, £465/hr
      • Trainee tier: £295-£325/hr
      • Estimated cost: £2,325–£3,720 + VAT + disbursements; scope = review docs Jun 5 2025, prepare letter of demand, if needed prepare/serve statutory demand.
      • Admin / billing contacts: Federica Spagnoletti (Wass team), Hannah Gee (Ashby), Toni Dosumu ([email protected]; financial queries).
    • Engagement letter 11 November 2025 (matter ref hnf/90000/1/tnd) — 180 Collective Ltd (formerly Hyperealms Ltd) shareholder information + participation rights.
      • Partner: Henry Farris ([email protected]; +44 20 7597 6693), £715/hr
      • Solicitor: Ryan Borley ([email protected]), £545/hr
      • Trainee tier: £295-£325/hr
      • Estimated cost: ~£10,000 + VAT/disbursements; scope = advise on information + participation rights for Austin's stake to avoid dilution by other shareholders.
      • Continued through 2026 — Jan 27 2026 Ryan Borley follow-up; Dec 18 2025 Ryan reported a useful call with "Marcello" (Rodrigo connection) about aligning strategies with parallel German/Swiss enforcement actions.
  • Critical billing pattern (umbrella flag): Both engagement letters state "Renfroe Family Holdings LLC will be paying your fees" for Austin's personal-side matters. Austin remains jointly + severally liable but invoices issue to RFH. Booking these as RFH expenses overstates RFH P&L vs. economic reality — these are personal-investment-protection matters. Confirm Pearce/Daisy posture on reclass through intercompany / personal-due-from-Austin.
  • Bank for client account (Withers LLP): C. Hoare & Co, 37 Fleet Street, London EC4P 4DQ; Sort 15-99-00, Acct 80250020; SWIFT HOABGB2L; IBAN GB84 HOAB 1599 0080 2500 20. Reference per matter (HNF/EAS/Austin Renfroe for the debt-recovery file; HNF/Renfroe for 180 Collective).
  • Japan — limited work to date: Tax advice on the GK / Mita structure ($2,973 from GK Brex 0593). See context/threads/withers-tokyo-gk.md.
  • Synology folder: Vendors/Withers/ — primary engagement letter, plus 180 Studios/ subfolder with TOB EU-Asia, Client Account Interest Policy, Fair Procedural Notice, Note on documents, C Hoare GBP Client Account doc.

Travers Thorp Alberga (TTA) — Cayman + BVI private-client counsel ✦

  • Firm: Travers Thorp Alberga (legacy domain traversthorpalberga.com; newer short domain tta.lawyer)
  • Scope of practice: Cayman Islands law + British Virgin Islands law only (no opinions on other jurisdictions; client explicitly responsible for tax / non-legal advice from other counsel — quoted directly from engagement letter)
  • Engagement letter: 7 February 2025, signed via Docusign (Envelope A505E8BF-54F5-4A19-AD29-5E68D78FF699). On file at Synology Vendors/TTA (Cayman)/TTA Retainer Agreement (Cayman).pdf. Scope = "provision of Cayman Islands private client legal counsel and related matters (if any)."
  • Principals:
  • Working scope as evidenced in M365 (Feb 10-26 2025 traffic, Laurence Reeves leading):
    • Cayman onboarding / KYC (passport + Austin TX utility bill + London utility bill from Laurence)
    • Initial structure conversation Feb 17 2025
    • "Wave" proposal eval (Feb 21-26 2025): David Schow's view — STAR Trust or Foundation are "excellent top of the structure vehicles" for an offshore family-office structure top tier. Mechanic choice between trust vs. foundation.
    • Cross-checked by Kim & Rosado (Nicholas Rosado, Feb 26-28 2025): Rosado analyzed the third-party promoter "Davis"/Wave proposal as "a foreign non-grantor trust for US tax purposes so that the trust can potentially avoid US taxation" and walked through likely IRS posture. Implicitly skeptical of the promoter's pitch.
  • Status: dormant — no substantive activity in M365 RFH-tenant after Feb 26 2025 thread. Engagement not formally closed; appears parked while US-side capital-gain analysis (Pearce + Kim & Rosado) is unresolved. $5,000 retainer paid via Brex Feb 10-11 2025 (Laurence initiated). Distillation: context/threads/tta-cayman-rfh.md.

IP counsel

Conley Rose — patents + trademarks ✦

  • Role: IP counsel (patents + trademarks) for Renfroe Innovation and Casa Moksha
  • Principal: Michael W. Piper
  • Renfroe Innovation matter: # 4447 — 3 issued US patents (US 10,445,672 / US 10,445,819 / US 11,900,288) in the Bar Management Software family; 1 pending application S/N 18/407,110 (matter # 4447-00106) currently in §101 Office Actionresponse/interview window past deadline as of 2026-05-09. CRITICAL.
  • Casa Moksha matter: # CR 8049-00100 — US TM filing → International Register → MX extension. Classes 039/041/043/044. Austin owes Piper substantive responses on 5 information requests outstanding since 2026-03-28.

Balch & Bingham — historical TM counsel

  • Role: Historical TM counsel for Renfroe Innovation
  • Principal: Pamela Smith ([email protected])
  • Matter: Serial 85804994 RENFROE INNOVATION — Notice of Allowance stage 2013-07-09; Statement of Use / Registration Certificate missing from Austin's records. Either Pamela has it or USPTO TSDR can confirm registration vs abandonment.

Judicial scriveners (Japan, 司法書士)

Japanese 司法書士 (judicial scriveners) are quasi-legal officers who handle property and corporate registry filings. Distinct from Withers and Tohyama's parent firms — they're a specific Japanese profession.

Solariage Judicial Scrivener Law Firm — existing-GK registry ✦

  • Firm: 司法書士法人ソラリアージュ
  • Role: Tokyo 司法書士 — handled the property registration to GK (May 2025) and the TSB mortgage-collateral filing
  • Phone: 03-5337-3378 (per the 2025-07-28 wire receipt)
  • Banking: Mizuho Bank Shinjuku-Nishiguchi branch, account 1197597. ¥3,221,900 + ¥880 fee paid 2025-07-28 by GK from TSB

Tohyama Office — proposed second-GK formation ✦

  • Firm: 司法書士法人遠山事務所
  • Role: 司法書士 firm engaged on the proposed second Renfroe Holdings GK formation (not yet executed — parked pending US-side capital-gain analysis)
  • Principal: Takeshima Tohru
  • Other staff in chain: Michibata Tatsuya, plus another team contact
  • Mandate scope: Form the proposed second GK with a US LLC as member; transfer Mita Garden Hills ownership from the existing GK to the second GK; wind down the existing GK
  • JP-side scheme: Cleared by Endo (ABS Partners) 2026-04-30 with transfer-price mark-to-market at FMV on transfer date; spread between contributed capital and FMV recognized as JP-side gain
  • US-side analysis: Open (Pearce + Kim & Rosado). This is the gate before Tohyama proceeds.

Family-office services

Autumn Lane Advisors ✦

Status — under proposal as Waterloo replacement (Nov 2025 → ongoing). See context/threads/autumn-lane-rfh.md.

  • Address: 7500 San Felipe, Suite 1030, Houston, TX 77063; 713-636-2075
  • Principal: David Andrew, CFA ([email protected]) — friendly with Austin pre-engagement (Autumn Lane Investor Day invite Oct 13 2025 with Terry Looper at Houston Country Club; Austin couldn't make it). Email tone "Hey bud" — established relationship.
  • Pitch timeline:
    • 2025-11-24 — David sent ALA Pitch deck (services pg 7, team pg 11-18; "we do books on clients trusts/FLPs, but this is an add-on we don't push")
    • 2025-12-02 — David proposes after partner-call: "we've been providing services similar to what you described to one other client, so this won't be a new line of service for us" — clear intent to onboard
    • 2025-12-03 — Draft Scope of Work delivered (non-binding starting point) — same day Austin formally terminated Waterloo
    • 2026-02-01 — Austin forwards ALA pitch deck to Gene + Jana Renfroe ("This is David, the family office advisor I spoke about Friday") — indicates Austin shopping ALA to parents' approval / family decision
  • Engagement letter: NOT YET SIGNED as of 2026-05-11. Status: in proposal.
  • Fee structure: Not yet quoted publicly; David said "we don't do marketing much" — fee likely to be lower-touch / less programmatic than Waterloo's $300K flat. Confirm with Austin.
  • Open follow-up: Decision on whether to sign; if proceeding, get engagement letter on file + add to accounting/advisor-decision-register.md.

Pillar3, LLC ✦

  • Address: 402 Office Park Drive, Ste 107, Birmingham AL 35223 (same office park as Pearce Bevill at 110 Office Park Drive Ste 100 — possible Birmingham-services cluster)
  • NDA on file: Synology Vendors/Pillar3/P3-Austin Renfroe NDA.pdf (template-style; signature dates blank on the version saved)
  • Historical role: "Pillar 3 used to look after our loans" per Laurence Reeves (M365, 2025-03-28) — likely a Birmingham-side loan-servicing / treasury-management advisor that handled SBA / mortgage payments before the Edgewood handoff. No current active mail traffic surfaced as of 2026-05-11 in M365 RFH-tenant.
  • Status: inactive / historical; surfaced for completeness. Future scope (if reactivated) would likely be Birmingham-area treasury ops.

Waterloo Capital, LP ✦

Status — TERMINATED 2025-12-03 with formal refund demand. See context/threads/waterloo-rfh.md.

  • Address: 2801 Via Fortuna, Suite 250, Austin TX 78746; p 512-777-5905
  • Service entity: Waterloo Capital Family Office Services, LLC (a/k/a WCFOS) — distinct subsidiary of Waterloo Capital, LP
  • Principals on the engagement:
    • John Chatmas Jr., Chief Executive Officer ([email protected]; cell 512-413-9454) — engagement counterparty + signatory
    • Mark McAdams, Director of Family Office Services — co-signatory
    • Michelle Kultgen, Managing Director ([email protected]) — relationship lead day-to-day (had been carried in repo as the primary contact; per the Aug 2025 signed agreement, John + Mark are the formal counterparties)
  • Engagement letter: Signed 2025-08-13 (Austin signed 04:58 PDT; John 00:24 EDT; Mark 09:37 EDT). Docusign envelope 2828C366-B9E1-4D07-BE66-09374422BFD0. On file at Synology Vendors/Waterloo/Austin Renfroe - Waterloo Agreement.pdf + MNDA.
  • Fee: $300,000 annual, quarterly $75,000 in advance (initial quarterly fee prorated). Indefinite term; 60-day termination notice; 30-day window after first quarter for clean exit. Texas governing law; FINRA arbitration in Austin TX.
  • Refund clause (Exhibit A, asterisked): If Austin's annual income from E.A. RENFROE & COMPANY via Gavon A. Renfroe Stock Trust is ≥ $6M/yr (2024 baseline) and Waterloo Proposals don't reduce federal tax liability by ≥ $300,000, the annual fee for that year is refunded. If Austin chooses not to pursue Waterloo Proposals, no refund applies.
  • Scope (Exhibit A): Fractional Family Office / Operations Support; Reporting Services; Project Development; Third-Party Relationship Management; strategy work on asset protection, estate/tax, succession.
  • Chuck Murphy mechanics: Chuck was a Waterloo 1099 contractor, not RFH staff (per John Chatmas 2026-01-07). Chuck's ~200 hrs of work + AL/MX/JP travel was billed against the Waterloo fee, not against RFH directly.
  • Termination narrative: Austin emailed 2025-12-03: "Notice of termination of contract with Waterloo, formal demand for refund of all fees paid." Multiple Dec 19-22 2025 calls with John; outcome (refund amount / settlement / waiver) not visible in mail through 2026-04. Captive-insurance proposal that Waterloo had been pitching dropped because Pearce-side advisor said "for 2025, there would be no tax benefit" — per Austin's Jan 15 2026 explanation.
  • As of 2026-02-24: Austin tells MoXi (mortgage) counterparty "I've had some turnover in my family office management group and I'm stepping back in here to handle this" — operating umbrella ops himself in the interim.
